1. Acceptance of Terms

By accessing or using LRNRS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. The Service is operated by ITS LLC DBA LRNRS ("we," "us," or "our").

2. Description of Service

LRNRS is an analytics-driven learning platform that provides instructors and students with AI-powered tools for course creation, assessment, and remediation. The Service includes both free and paid features.

3. User Accounts

3.1 Age Requirement

You must be at least 13 years of age to create an account and use LRNRS. By creating an account, you represent and warrant that you are at least 13 years old. We do not knowingly collect information from children under 13. If we learn that we have collected personal information from a child under 13, we will promptly delete such information.

3.2 Account Responsibilities

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Not share your account with others
• Notify us immediately of unauthorized use
• Be responsible for all activity under your account

4. Paid Services and Subscriptions

4.1 Subscription Plans

LRNRS offers paid subscription plans with additional features. Current plans include:

• Student Premium: $14.99/month
• Instructor Premium: $29.99/month or $320/year

4.2 Free Trials

We offer a 7-day free trial for premium plans. You will be charged at the end of the trial period unless you cancel before then.

4.3 Billing

• Subscriptions automatically renew unless canceled
• Payments are processed through Stripe
• Prices are subject to change with 30 days' notice
• No refunds for partial subscription periods

4.4 AI Credit System

All paid subscription plans include a monthly allowance of 3 million AI tokens. This allowance resets on the first day of each billing cycle.

What 3 million tokens includes (approximate usage):

• Approximately 1,500 AI-generated practice problems
• Approximately 300 course book pages processed with AI features
• Approximately 500 AI tutoring conversations or explanations
• Unlimited Battle sessions (AI question generation uses tokens)

Usage beyond monthly allowance: If you exceed your monthly token allowance, you may purchase additional credits at $1.99 per 1,000 credits. Each 1,000 credits provides approximately:

• 500 additional practice problems
• 100 additional course book pages
• 250 additional AI tutoring conversations

Note: Token usage estimates are approximate and vary based on content complexity, length, and feature used. The monthly allowance is designed to cover typical course needs for most users. Unused tokens do not roll over to the next billing cycle.

5. AI-Generated Content

IMPORTANT: LRNRS uses artificial intelligence to generate content including course materials, questions, explanations, and feedback. AI-generated content may contain errors, inaccuracies, or inappropriate material.

You acknowledge and agree that:

• AI-generated content is provided "as-is" without warranties
• You are responsible for reviewing and verifying AI-generated content before use
• We are not liable for errors, omissions, or consequences of using AI-generated content
• AI content should be used as an educational aid, not as a replacement for human judgment
• You will not rely solely on AI-generated content for critical educational decisions

6. User Content and Ownership

6.1 Your Content Rights

You retain ownership of all content you create or upload to the Service. By uploading content, you grant us a license to:

• Host, store, and display your content
• Process your content through AI services to provide features
• Share your content with other users as you direct (e.g., students in your courses)

6.2 Copyright Warranty and Indemnification

You agree to indemnify, defend, and hold harmless ITS LLC DBA LRNRS, its officers, directors, employees, contractors, and agents from and against any and all third-party claims, actions, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees and legal costs) arising from or related to:

• Your uploaded content infringing or allegedly infringing any third-party intellectual property rights
• Your violation of any copyright laws, trademark laws, or other intellectual property laws
• Your breach of the warranties in this Section 6.2
• Any claims that your content violates applicable laws or third-party rights

7. DMCA Copyright Policy

7.1 Reporting Copyright Infringement

LRNRS respects intellectual property rights and responds to valid DMCA takedown notices. If you believe content on the Service infringes your copyright, send a written notice to our designated DMCA agent containing:

• Physical or electronic signature of the copyright owner or authorized agent
• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on the Service (URL or description)
• Your contact information (address, telephone number, email)
• A statement that you have a good faith belief the use is not authorized
• A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner

7.2 DMCA Designated Agent

7.3 Counter-Notification

If you believe content you uploaded was removed by mistake or misidentification, you may send a counter-notification to our DMCA agent containing:

• Your physical or electronic signature
• Identification of the removed content and its former location
• A statement under penalty of perjury that the content was removed by mistake or misidentification
• Your name, address, telephone number, and consent to jurisdiction in your district

7.4 Repeat Infringer Policy

In accordance with the DMCA (17 U.S.C. § 512(i)), LRNRS has adopted a policy for terminating users who are repeat copyright infringers:

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Harass, abuse, or harm others
• Attempt to gain unauthorized access to the Service
• Use the Service for cheating or academic dishonesty
• Resell or redistribute the Service
• Scrape or harvest data from the Service

9. Educational Use

LRNRS is intended for educational purposes. Instructors are responsible for:

• Ensuring appropriate use of the Service in their courses
• Reviewing AI-generated content before presenting it to students
• Complying with institutional policies and accreditation requirements
• Maintaining academic integrity

10. Our Intellectual Property

The Service and its original content (excluding user-generated content) are owned by ITS LLC and protected by copyright, trademark, and other intellectual property laws. "LRNRS" and our logos are trademarks of ITS LLC.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITS LLC DBA LRNRS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING DAMAGES FROM AI-GENERATED CONTENT ERRORS OR COPYRIGHT INFRINGEMENT CLAIMS RELATED TO USER-UPLOADED CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. General Indemnification

In addition to the indemnification obligations in Section 6.2 (Copyright), you agree to indemnify and hold harmless ITS LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms, including but not limited to violations of applicable laws, third-party rights, or academic integrity policies.

14. Termination

We may terminate or suspend your account at any time for violation of these Terms, including repeated copyright infringement. You may cancel your subscription at any time. Upon termination:

• Your right to use the Service ends immediately
• You may export your data within 30 days
• We may delete your data after 30 days

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware. You consent to personal jurisdiction in Delaware courts.
